Note: This is an English translation of our French Terms & Conditions for convenience. The French version is the legally binding text.
These Terms and Conditions of Sale (hereinafter "T&C") govern the contractual relationship between KLN-WEB, a French micro-enterprise represented by Jonville Kellian, with its registered office in Robion (France), and any professional Client wishing to use the services offered by KLN-WEB.
KLN-WEB operates under the French auto-entrepreneur status. VAT not applicable — French CGI article 293 B (French General Tax Code).
1. Purpose
These T&C define the conditions under which KLN-WEB provides services for the creation, development, hosting, maintenance, optimisation and digital support, in particular through the following offers:
- Showcase site
- E-commerce site
- Maintenance and support
- SEO support and consulting
- Sale of PrestaShop modules and other digital products
2. Acceptance of the T&C
Any order, signed quote or online subscription implies the Client's full and unreserved acceptance of these T&C. The applicable T&C are those published on the KLN-WEB website on the day of the order.
3. Quotes, orders and payment
3.1 — Quote and validation
Each service is the subject of a written quote or offer specifying the nature, price and timeframe. Validation of the quote or payment of the first instalment constitutes a firm and definitive order.
3.2 — Payment terms
Payments are made according to the terms indicated on the quote or relevant offer page (bank transfer, secure card payment via Stripe, etc.). No discount is granted for early payment.
3.3 — Late payment and penalties
In accordance with French Code de commerce articles L441-10 and D441-5:
- Any payment delay of more than 15 days entitles KLN-WEB to immediately suspend its services without compensation and to demand the payment of all sums still due.
- Starting from the day after the payment due date shown on the invoice, late-payment penalties are payable as of right, calculated at the interest rate applied by the European Central Bank to its most recent refinancing operation, increased by 10 percentage points, without the need for a reminder.
- Any payment delay also entails a fixed indemnity for collection costs of 40 € per unpaid invoice. Where the collection costs incurred exceed this amount, KLN-WEB may request additional compensation upon evidence.
4. Maintenance & protection plans
4.1 — Available plans
KLN-WEB offers three monthly subscription plans for the monitoring, security and maintenance of Client sites:
- Essential — 50 €/month: 24/7 monitoring, intervention if site goes down, security protection, 30 min of development per month.
- Business — 75 €/month: everything in Essential, plus optimised hosting, automatic daily backups and priority support.
- Performance — 129 €/month: everything in Business, plus 2 hours of development per month, site optimisation and ongoing support.
All plans are subject to "VAT not applicable" status (French CGI article 293 B). The exact content of each plan is described on the website and in the quote attached to the order.
4.2 — No commitment period
Maintenance subscriptions are entered into with no commitment period. The Client may cancel at any time, by simple email to contact@kln-web.fr, with 7 days' notice before the next monthly billing date. No monthly payment is refundable; cancellation takes effect at the end of the current period.
4.3 — Additional development hours
Beyond the development time included in the chosen plan, the Client may order additional hours at the rates in force on the website (for example: +30 min = +30 €, +1 h = +60 €, +2 h = +120 €). These hours are billed on order and usable during the current month, with no carry-over.
4.4 — Right of use and hosting
For the Business and Performance plans, hosting is made available to the Client for the duration of the subscription. In case of cancellation, the Client has 30 days from the last billing date to migrate their site to another host, on simple request. The intellectual-property rules applicable to code and deliverables are set out in article 12.
5. Other services
For other offers (e-commerce, SEO, maintenance, etc.), specific conditions are set out in the corresponding quote. Unless stated otherwise, the source code remains the property of KLN-WEB until full payment.
6. Delivery and acceptance
Delivery is deemed completed when the site is put online or when the files are handed over to the Client. The Client has 7 days to report any non-conformity in writing. Without feedback within this period, the delivery is considered validated and compliant.
7. Liability
KLN-WEB undertakes to provide all the resources necessary for the proper performance of the services. This is an obligation of means and not of result.
KLN-WEB cannot be held liable for any damage resulting in particular from:
- a malfunction or outage related to the host or a third-party service;
- modifications or external interventions made after delivery;
- data loss, hacking or any incident outside its control;
- the absence of guaranteed commercial results or search-engine ranking.
In any event, the liability of KLN-WEB is strictly limited to the total ex-VAT amount of the service concerned.
8. Client obligations
- Provide on time all the elements needed for the project (texts, images, access, etc.).
- Hold the rights of use and exploitation over all content provided.
- Comply with the legal obligations applicable to their site (legal notices, GDPR, consumer law, etc.).
- Keep their login credentials and contact details up to date.
9. Personal data and confidentiality
KLN-WEB undertakes not to disclose the Client's confidential information. Personal data collected as part of the contractual relationship (identity, contact details, billing data) is processed in accordance with the EU Regulation 2016/679 (GDPR) and the amended French Data Protection Act ("Informatique et Libertés").
- Purposes: contract performance, billing, technical support, accounting and tax obligations.
- Legal basis: contract performance and legal obligations.
- Retention period: duration of the contract, extended by the legal accounting retention periods (10 years).
- Recipients: KLN-WEB and its technical sub-contractors (host, payment provider).
- Client rights: access, rectification, erasure, restriction, objection and portability, exercisable by email to contact@kln-web.fr. The Client also has the right to lodge a complaint with the CNIL (French data-protection authority).
10. Termination
10.1 — Termination for breach
In addition to termination for convenience set out in article 4.2 for maintenance subscriptions, each party may terminate the contract in case of serious breach by the other party, not remedied within 15 days following a written formal notice that has remained without effect.
In case of Client breach, the sums already paid remain acquired by KLN-WEB as compensation for the work undertaken and the costs incurred.
10.2 — Termination for convenience
No unilateral "termination for convenience" is admitted during an ongoing project, except by written agreement of both parties.
11. Force majeure
Neither party shall be held liable for an unforeseeable, irresistible and external event within the meaning of French Code civil article 1218. Obligations are suspended for the duration of the event. If the impediment is final, the contract is automatically terminated.
12. Intellectual property
All elements created, developed or installed by KLN-WEB (source code, modules, design, structure, technical tools) remain its exclusive intellectual property.
- For the Showcase site offer and subscription services, the Client benefits from a right of use limited to the duration of the subscription.
- For services billed in full, the source code remains the property of KLN-WEB until full payment; any source code transfer or full assignment may be subject to specific billing.
- Texts, images, logos and content supplied by the Client remain their property.
Any unauthorised reproduction, representation or use constitutes counterfeiting punishable under articles L335-2 and following of the French Intellectual Property Code.
13. Sale of PrestaShop modules and digital products
13.1 — Nature of products
KLN-WEB sells PrestaShop modules, scripts, templates, additional features and more broadly digital products intended to be installed on e-commerce or showcase sites. These products are delivered in non-physical form, via download or secure link.
13.2 — Module ordering and delivery
A module order is placed online via the KLN-WEB website or any partner platform. Once payment is validated:
- the Client receives a download link or access to their module via their client area;
- no physical shipment is made; delivery is exclusively digital;
- the product is deemed delivered as soon as the link or files are made available.
13.3 — Licence of use
The modules and digital products sold by KLN-WEB are protected by copyright and remain the exclusive intellectual property of KLN-WEB, unless expressly stated otherwise.
Unless specified otherwise on the product page or in the quote, the sale of a module includes:
- a non-exclusive and non-transferable licence of use;
- use limited to the Client's site(s) or project(s) indicated at the time of the order;
- the prohibition of reselling, redistributing, lending or making available the module to third parties, even free of charge.
Any use outside the scope of the licence (resale, unauthorised pooling, distribution on marketplaces, etc.) constitutes counterfeiting and may give rise to legal action.
13.4 — Compatibility and technical requirements
Each module specifies, on its product page, the supported versions of PrestaShop and/or CMS, as well as any technical requirements (PHP, extensions, server environment, etc.).
It is the Client's responsibility to verify that:
- their site runs on a compatible version of PrestaShop;
- other modules or customisations do not conflict with the installed product;
- their host complies with the stated technical recommendations.
KLN-WEB cannot be held liable for malfunctions linked to:
- an environment that does not meet the technical requirements;
- conflicts with third-party modules, themes, overrides or custom developments;
- changes made to the module's code by the Client or a third party.
13.5 — No right of withdrawal
The products sold (modules, scripts, themes and more generally any digital content supplied otherwise than on a tangible medium) are intended for professional Clients, in the course of their activity. The right of withdrawal provided by the French Consumer Code does not apply.
The Client expressly acknowledges that as soon as the download is activated or access to the delivery link is granted, the product is deemed fully performed and no refund will be made, save for a manifest error attributable to KLN-WEB.
13.6 — Module updates
KLN-WEB may offer updates to its modules, in particular to:
- ensure compatibility with recent PrestaShop versions;
- fix bugs;
- add minor enhancements.
The conditions of access to updates (free or paid, period of availability, etc.) are specified on the product page or in the quote. Where no specific mention is made, updates are not guaranteed indefinitely over time.
13.7 — Technical support for modules
Purchasing a module may include limited technical support, the conditions of which (duration, scope, contact channel) are specified on the product page or in the associated documentation.
Unless stated otherwise, support includes:
- help installing the module on a healthy PrestaShop site that meets the requirements;
- assistance in case of a confirmed bug in the module in its original state;
- answers to basic usage questions.
Support does not cover:
- development of custom features;
- advanced graphical adaptation to the Client's theme;
- resolution of conflicts caused by third-party modules or custom code;
- interventions on a site that is unstable, hacked or unmaintained.
Any request beyond the scope of standard support may be subject to a separate quote.
13.8 — Warranty, liability and specific limitations
KLN-WEB warrants that the modules are delivered in a functional state and tested on a reference PrestaShop installation matching the stated requirements.
KLN-WEB does not guarantee:
- a commercial result (automatic increase in sales, traffic, etc.);
- integration without adjustment on every existing theme and environment;
- long-term compatibility with future major versions of PrestaShop, unless explicitly stated.
In any event, KLN-WEB's liability for any direct damage related to the use of a module is strictly limited to the ex-VAT amount paid by the Client for that module.

15. Amicable resolution, applicable law and jurisdiction
15.1 — Amicable resolution
In case of a dispute related to the interpretation or performance of these T&C, the parties undertake to seek an amicable solution prior to any litigation, by written exchange within 30 days from the notification of the dispute.
15.2 — Applicable law and jurisdiction
These T&C are governed by French law. Failing amicable resolution, any dispute will be subject to the exclusive jurisdiction of the Court of Avignon, including in case of multiple defendants or third-party claims.
